Acquisitions

Our attorneys have handled hundreds of acquisitions of retail, mixed-use and hotel properties throughout the United States.

HM’s clients typically request our advice and assistance early in the process, starting with confidentiality agreements and letters of intent. This enables us to have a deeper understanding of the transaction and to focus on issues that are of greatest importance to our clients as the transaction progresses from due diligence through closing.

Financing

We have successfully represented clients in connection with various types of real estate financing transactions, including traditional commercial first mortgage loans, construction loans and mezzanine loans. These include single asset loans and portfolio loans involving as many as 25-30 properties.

Leasing

Members of HM’s Real Estate Transactions and Leasing team have negotiated hundreds of commercial leases representing both landlords and tenants. On the landlord side, we have negotiated leases with some of the largest luxury retail tenants in the world such as Chanel, Gucci, Hermes, RH (Restoration Hardware), CVS, Walgreens, Target, Canada Goose, Trader Joes and Whole Foods. Additionally, we have represented landlords in successful lease negotiations with smaller restaurant, retail and office tenants around the country. We also represent various tenants in both retail and office leases. Our leasing experience rivals that of the largest U.S. law firms.

Development

Our team has handled almost all aspects of real estate development transactions, from acquisitions, architect’s agreements, construction contracts, development agreements, easement agreements and REAs, as well as asset and property management agreements.

Joint Ventures

We have represented real estate clients in connection with numerous joint venture (LLC and LP) agreements for various asset types. We work closely with HM’s corporate transactional attorneys on these JVs to ensure that both corporate and real estate issues are carefully considered and addressed.
