HM is very active in private equity and venture capital matters. We represent emerging companies, financial sponsors, venture capital investors and lending institutions, in connection with growth capital, working capital financing, acquisition financing and long term debt.
How We Help
Assisting businesses with procurement of debt and equity financing is a key skill of HM’s transactional attorneys. Services in this area run in parallel with our work structuring agreements among multiple participants.
We routinely advise clients on private placement terms, preparation of offering memoranda and investor agreements, as well as federal and state securities law compliance.
Heston Morton’s work also involves preparation and negotiation of LLC agreements, partnership agreements and agreements among holders of various classes and series of equity and debt securities. We are attuned to the interests, rights and preferences of investors, directors and officers, in regard to economics, corporate governance, control and liquidity. We handle documentation such as convertible notes, stock options, preferred equity, voting and non-voting common equity, profits interests and SAFEs.
We provide advice regarding incentive equity and equity-like plans, involving stock options, restricted stock, appreciation rights and restricted stock units. We also counsel clients on rollover equity arrangements.
